These Terms are designed for JDN Solutions Inc.’s approved one-to-one SMS use in Microsoft Teams. They do not authorize bulk, automated, promotional, or marketing messaging.

SMS COMMUNICATION TERMS

These SMS Communication Terms (the “SMS Terms”) govern text message communications between JDN Solutions Inc. (“JDN Solutions,” “we,” “us,” or “our”) and any client, prospective client, employee, temporary worker, independent contractor, job applicant, vendor, business partner, or other individual who receives or sends text messages through a JDN Solutions business number (each, a “Recipient” or “you”).

The SMS service is intended only for direct, low-volume, person-to-person conversations conducted by authorized JDN Solutions representatives. It supports legitimate business communications related to staffing, hospitality, catering, janitorial services, moving services, workforce coordination, customer support, recruiting, scheduling, and related operational matters.

By providing a mobile telephone number to JDN Solutions, requesting communication by text message, initiating a text conversation with us, or otherwise consenting to receive text messages, you acknowledge that you have read and agree to these SMS Terms, our Privacy Policy, and any other applicable terms published on our website.

1. Scope and Purpose

1.1 Purpose

These SMS Terms describe the conditions under which JDN Solutions may send and receive SMS or similar mobile text messages. The purpose of the service is to facilitate practical, direct communication between a Recipient and an identifiable JDN Solutions representative concerning an existing inquiry, requested service, staffing relationship, work opportunity, assignment, or other legitimate operational matter.

1.2 Relationship to Other Policies

These SMS Terms supplement the JDN Solutions Privacy Policy and general Terms and Conditions. If a conflict exists regarding text messaging, these SMS Terms control only with respect to the SMS service. Nothing in these SMS Terms expands any service commitment, employment obligation, contract term, or warranty stated elsewhere.

1.3 Geographic and Technical Scope

The SMS service is offered through eligible JDN Solutions business telephone numbers and may depend on Microsoft Teams, mobile carriers, telecommunications providers, and other service providers. Availability may vary based on location, carrier, device, telephone number type, and regulatory requirements.

2. Definitions

2.1 “SMS” or “Text Message”

A written mobile communication sent using SMS, MMS, or a successor messaging protocol supported by the applicable carrier or communications platform.

2.2 “Conversational Messaging”

A direct, person-to-person exchange between a Recipient and an authorized JDN Solutions representative, generally arising from an inquiry, business relationship, staffing relationship, work assignment, or service request.

2.3 “Opt-In” or “Consent”

A Recipient’s affirmative agreement, request, initiation, acknowledgment, or other legally sufficient authorization to receive SMS communications from JDN Solutions for a stated purpose.

2.4 “Opt-Out”

A Recipient’s request that JDN Solutions stop sending text messages from the applicable business number or for the applicable conversation or purpose.

2.5 “Mobile Information”

A mobile telephone number and information connected to SMS consent, message delivery, message content, opt-in, opt-out, and related records.

3. Approved Nature of the SMS Service

3.1 One-to-One Communications

JDN Solutions uses SMS for low-volume, one-to-one communications assigned to individual employees or authorized representatives. The service is intended to allow a human representative to communicate directly with a Recipient in a normal business conversation.

3.2 No Bulk or Automated Campaigns

JDN Solutions does not use this SMS service for bulk broadcasts, mass marketing, purchased contact lists, automated alerts, chatbot campaigns, API-driven messaging, or indiscriminate promotional outreach. The fact that the communications platform may automatically process certain compliance keywords or notices does not change the human-operated nature of the underlying conversation.

3.3 No Unsolicited Marketing

The SMS service is not intended for unsolicited advertising or promotional campaigns. JDN Solutions will not use conversational SMS consent as blanket permission to send unrelated marketing messages.

4. Eligible Recipients and Business Relationships

SMS communications may be exchanged with the following categories of Recipients:

Clients and prospective clients who request staffing, hospitality, catering, janitorial, moving, or related workforce services.

Employees, temporary workers, contractors, and job applicants who communicate with JDN Solutions regarding opportunities, availability, interviews, onboarding, assignments, schedules, or workplace matters.

Vendors, subcontractors, venues, business partners, and service providers involved in legitimate business operations.

Individuals who initiate a text message, ask to be contacted by text, or provide consent through another verifiable method.

Possession of a mobile number alone does not create permission for unrelated outreach. JDN Solutions will use reasonable procedures to confirm that the number belongs to, or is controlled by, the intended Recipient.

5. Consent and Opt-In

5.1 Consent Is Specific to SMS

Consent to receive SMS communications must be specific, transparent, and connected to the types of messages described at the time consent is obtained. Consent to receive telephone calls or email does not automatically constitute consent to receive every category of text message.

5.2 Methods of Opt-In

A Recipient may opt in through one or more of the following methods:

Initiating a text conversation with a JDN Solutions business number.

Asking a JDN Solutions representative, verbally or in writing, to communicate by text message.

Providing a mobile number through a form, application, contract, onboarding record, client request, or similar document that clearly discloses the intended SMS communications.

Responding affirmatively to a request for permission to communicate by text.

Providing consent during a telephone call or in-person conversation after receiving the applicable disclosures.

5.3 Consent Disclosures

At or before opt-in, JDN Solutions may disclose the company name, the expected types of messages, that message frequency varies, that message and data rates may apply, how to obtain help, how to stop messages, and links to the applicable Privacy Policy and SMS Terms.

5.4 Voluntary Consent and Alternative Channels

Consent to receive SMS is not a condition of purchasing services from JDN Solutions. Applicants, employees, workers, clients, and other Recipients may request reasonable communication through telephone or email when available. Choosing not to receive SMS may affect the speed or convenience of time-sensitive staffing and scheduling communications, but it does not by itself waive legal rights or create an adverse employment decision.

5.5 Authority to Provide a Number

By providing a mobile number, you represent that you are the subscriber or customary user of that number, or that you otherwise have authority to consent to communications sent to it. You must promptly notify JDN Solutions if the number is reassigned, disconnected, or no longer controlled by you.

6. Types of Messages

Depending on the relationship and the purpose for which consent was obtained, messages may include:

Responses to inquiries about JDN Solutions and its services.

Availability checks and staffing opportunity discussions.

Interview coordination, onboarding instructions, and requests for employment-related documents.

Work assignment offers, confirmations, reminders, schedule updates, reporting instructions, and location details.

Operational coordination for hospitality, catering, janitorial, moving, event, or workforce services.

Client service updates, requests for information, and follow-up regarding active or requested services.

Communications about changes, cancellations, delays, attendance, availability, or other matters affecting an assignment or service.

Direct support concerning an existing conversation or business relationship.

Messages should remain reasonably related to the Recipient’s inquiry, consent, assignment, requested service, or established business relationship. JDN Solutions does not promise that every type of communication will be available by SMS.

7. Message Frequency and Timing

7.1 Frequency Varies

Message frequency varies. The number of messages depends on the Recipient’s communications, active assignments, service requests, schedule changes, operational needs, and the duration of the business relationship. Some conversations may involve only one or two messages, while active staffing or service coordination may require additional messages.

7.2 Reasonable Business Hours

JDN Solutions generally seeks to send non-urgent messages during reasonable business or operational hours. Staffing, event, hospitality, moving, and janitorial operations may occur outside traditional office hours; therefore, messages relating to an active assignment or time-sensitive service may be sent earlier, later, or on weekends when reasonably necessary.

7.3 No Guaranteed Response Time

SMS is provided as a convenience. JDN Solutions does not guarantee an immediate response, continuous monitoring, or a particular response time.

8. Message and Data Charges

JDN Solutions does not impose a separate fee merely for participating in the SMS service. Message and data rates may apply. Your wireless carrier or service provider may charge you according to your plan, location, roaming status, device, or other terms. You are responsible for any carrier charges.

9. Human-Operated Messaging and System Notices

9.1 Human Representatives

Substantive SMS conversations are handled by authorized JDN Solutions representatives. Messages should be understood as business communications from a human sender unless the message expressly states that it is an automatic system notice.

9.2 Compliance Notices

The communications platform may automatically send an initial opt-in disclosure, an opt-out confirmation, a help response, or a resubscription confirmation when recognized compliance keywords are received. These limited notices support carrier and platform compliance and do not convert the service into a bulk or automated marketing program.

10. Opt-Out and Withdrawal of Consent

10.1 Right to Stop Messages

You may withdraw consent and request that messages stop at any time. To stop text messages from the applicable JDN Solutions number, reply STOP. The platform may also recognize equivalent opt-out requests such as QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE.

10.2 Ordinary-Language Requests

Because JDN Solutions uses person-to-person communications, you may also state in ordinary language that you no longer wish to receive text messages. You may additionally contact JDN Solutions at info@jdnsolutions-inc.com. JDN Solutions will honor clear opt-out requests within a reasonable period and will not attempt to evade them.

10.3 Scope of Opt-Out

An opt-out generally applies to the specific conversation and sending number involved. JDN Solutions will not send additional messages from another number to avoid an opt-out. Separate communications may occur only when independently authorized for a different purpose or when required or permitted by law.

10.4 Confirmation

After an opt-out request, the platform or JDN Solutions may send one final message confirming that no further messages will be sent from that number unless the Recipient later requests or authorizes renewed communication.

11. Help and Support

For assistance relating to the SMS service, reply HELP or contact JDN Solutions at info@jdnsolutions-inc.com. A platform-generated help response may provide the company name and available support information. General service, employment, scheduling, billing, or assignment questions should be directed to the JDN Solutions representative handling the applicable matter.

12. Resuming a Conversation After Opt-Out

After opting out, a Recipient may request to resume text messaging by replying START or by providing new, verifiable consent through an appropriate channel. JDN Solutions may require confirmation before resuming messages. A new consent applies only to the purpose reasonably disclosed at the time of resubscription.

13. Privacy and Use of Mobile Information

13.1 Limited Use

JDN Solutions uses Mobile Information to transmit messages, respond to Recipients, administer staffing and service relationships, maintain compliance records, investigate delivery or security issues, and perform other legitimate business functions described in the Privacy Policy.

13.2 No Marketing Sale or Sharing

Mobile opt-in information will not be shared with third parties or affiliates for marketing purposes. JDN Solutions does not sell or rent mobile numbers, SMS consent records, or text message content for independent promotional use.

13.3 Service Providers

Mobile Information may be processed by Microsoft, telecommunications carriers, messaging providers, information technology vendors, and other service providers that assist JDN Solutions in delivering, securing, administering, or documenting the SMS service. Such processing is limited to legitimate operational, compliance, and service purposes.

13.4 Legal and Protective Disclosures

JDN Solutions may disclose information when reasonably necessary to comply with law, regulation, subpoena, court order, government request, carrier requirement, or legal process; to protect rights, safety, or property; to investigate fraud or misuse; or to enforce applicable agreements.

13.5 Sensitive Information

Recipients should not send Social Security numbers, complete payment card numbers, passwords, immigration documents, medical information, or other highly sensitive information by SMS unless specifically requested through an approved secure process. JDN Solutions may direct the Recipient to a different channel for sensitive documents.

14. Prohibited Content and Conduct

Recipients and JDN Solutions representatives must not use the SMS service to:

Send unlawful, fraudulent, deceptive, threatening, harassing, hateful, obscene, or defamatory content.

Promote illegal activity, discrimination, violence, malware, phishing, or unauthorized access.

Misrepresent identity, impersonate another person or company, or spoof an originating number.

Transmit unsolicited bulk advertising, purchased-list outreach, chain messages, or prohibited promotional content.

Evade opt-out requests, carrier restrictions, platform safeguards, or campaign limitations.

Send content involving prohibited or specially regulated subjects unless expressly authorized and legally compliant.

JDN Solutions may suspend a conversation, block a number, preserve records, report misuse, or take other reasonable action when it believes the service is being abused or used unlawfully.

15. Links, Files, and Security

15.1 Links and Attachments

A JDN Solutions representative may send links to the company website, maps, schedules, documents, forms, client instructions, or other legitimate resources. Recipients should verify that a link is consistent with the conversation and should not provide credentials or sensitive information through an unfamiliar website.

15.2 No Guarantee Against Interception

Standard SMS is not an end-to-end encrypted channel. Messages may be stored or processed by carriers, device providers, platform vendors, or backup services. Recipients should use appropriate caution before sending confidential information.

15.3 Fraud Awareness

JDN Solutions will not use an SMS conversation to request passwords, demand payment by gift card, or ask a Recipient to bypass ordinary verification controls. Suspected impersonation or fraud should be reported to info@jdnsolutions-inc.com.

16. Delivery, Availability, and Carrier Limitations

Message delivery is subject to carrier networks, device settings, platform availability, filtering, number eligibility, internet or cellular coverage, and other factors outside JDN Solutions’ control. Messages may be delayed, blocked, duplicated, truncated, or delivered out of order. A delivery indicator does not guarantee that the intended Recipient personally read the message.

JDN Solutions may change, suspend, or discontinue SMS functionality for a number, user, service, or Recipient when required by law, Microsoft, a carrier, a service provider, or operational necessity.

17. Recipient Responsibilities

By using the SMS service, you agree to:

Provide accurate contact information and promptly report a changed or reassigned number.

Protect access to your device and notify JDN Solutions if unauthorized persons may be receiving messages.

Use the service lawfully and communicate in a professional manner.

Review messages promptly when they concern active assignments, schedules, or service operations.

Confirm critical details through another channel when the message appears incomplete, suspicious, or inconsistent.

18. No Emergency or Time-Critical Service

The SMS service is not an emergency service and must not be used to report imminent threats, medical emergencies, fires, crimes in progress, or other urgent public-safety events. Call 911 or the appropriate emergency authority. For urgent workplace safety issues, follow the emergency procedures provided for the applicable job site or assignment.

19. Records, Consent Evidence, and Compliance

19.1 Records

JDN Solutions may maintain records of opt-in, opt-out, message content, sender and recipient numbers, dates, times, delivery information, and related business records for operational, legal, security, and compliance purposes.

19.2 Proof of Consent

Where appropriate, JDN Solutions may preserve a form, script, email, application, contract notation, message, or other record showing how and when consent was obtained. A Recipient may be asked to reconfirm consent when the purpose changes or the prior consent is unclear.

19.3 Compliance Responsibility

JDN Solutions seeks to comply with applicable laws, carrier rules, platform requirements, and approved campaign limits. No provision of these SMS Terms should be interpreted as authorizing conduct prohibited by applicable law.

20. Employment and Staffing Communications

20.1 No Employment Guarantee

A text message about a potential job, assignment, shift, interview, or availability request is not a guarantee of employment, placement, hours, compensation, assignment duration, or future work unless confirmed in an authorized written agreement or official assignment communication.

20.2 Schedule and Assignment Confirmation

Recipients are responsible for reviewing assignment details and asking questions when information is unclear. A worker should not assume that an assignment is confirmed solely because preliminary availability was discussed.

20.3 Workplace Policies

SMS communications do not replace applicable workplace rules, client-site policies, safety instructions, timekeeping requirements, reporting procedures, or signed employment documents.

20.4 Employment Privacy

Employment-related information sent by SMS will be handled under applicable privacy and employment practices. JDN Solutions may move the conversation to a more secure channel when documents or sensitive information are required.

21. Client and Vendor Communications

SMS communications with clients, prospective clients, vendors, and partners are intended for convenient coordination. They do not amend a proposal, service agreement, rate, scope of work, insurance requirement, indemnity provision, payment term, or other contract unless an authorized written amendment expressly states otherwise.

Recipients should use the designated contract, invoice, email, or formal approval process for matters requiring a binding commitment, signature, confidential attachment, or detailed commercial record.

22. Changes to These SMS Terms

JDN Solutions may update these SMS Terms to reflect changes in law, carrier standards, Microsoft Teams requirements, business operations, or service features. The updated version will be posted on the JDN Solutions website with a revised effective or last-updated date. Material changes may also be communicated through an appropriate channel.

Continued use of the SMS service after an update constitutes acknowledgment of the revised SMS Terms to the extent permitted by law. A Recipient who does not agree may stop using the service and opt out.

23. Governing Law and Dispute Provisions

These SMS Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles. Any dispute arising specifically from these SMS Terms will be handled in accordance with applicable contracts and law. Nothing in this section limits rights that cannot legally be waived.

24. Severability, Waiver, and Entire Agreement

24.1 Severability

If any provision of these SMS Terms is held invalid or unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.

24.2 No Waiver

A failure to enforce a provision does not waive the right to enforce that provision or any other provision later.

24.3 Entire SMS Agreement

These SMS Terms, together with the incorporated Privacy Policy, general Terms and Conditions, and any applicable written service or employment agreement, constitute the agreement governing the SMS service.

JDN Solutions Inc.: The client has moved today’s start time from 4:00 PM to 4:30 PM. Please confirm that you received this update.

JDN Solutions Inc.: We received your request for janitorial staffing. Diego will follow up with the scope and availability.

JDN Solutions Inc.: Please email the requested document to info@jdnsolutions-inc.com. Do not send Social Security numbers or payment card details by text.
