PLEASE READ THESE TERMS CAREFULLY. By accessing or using the website, submitting information, requesting services, applying for opportunities, or otherwise communicating with JDN Solutions Inc. through online channels, you acknowledge that you have read and agree to these Terms and Conditions, to the extent permitted by applicable law.
Important scope notice. These Terms are general website and online-use terms. They do not replace any separate staffing agreement, client service agreement, statement of work, employment document, independent contractor agreement, vendor agreement, event agreement, invoice terms, or other signed contract. If a signed agreement conflicts with these Terms, the signed agreement controls for the subject matter it covers.

1. Acceptance, Scope, and Eligibility
1.1 Agreement to These Terms
These Terms and Conditions (the “Terms”) form a binding agreement between you and JDN Solutions Inc. (“JDN Solutions,” “JDN,” “we,” “us,” or “our”) concerning your access to and use of https://jdnsolutions-inc.com and any related webpages, forms, digital communications, or online features that expressly link to or incorporate these Terms (collectively, the “Website”).
By accessing the Website, submitting a request, completing a form, applying for a work opportunity, requesting staffing or other services, or otherwise using the Website, you agree to comply with these Terms. If you do not agree, do not use the Website or submit information through it.
1.2 Scope of These Terms
These Terms govern Website use and general online interactions only. They do not independently create an employment relationship, worker assignment, staffing commitment, service engagement, vendor relationship, partnership, joint venture, agency relationship, or guarantee of future business.
Any actual staffing placement, employment relationship, temporary work assignment, client service engagement, event staffing arrangement, janitorial service, moving project, hospitality service, catering support service, vendor relationship, or other transaction may require additional documents. Those additional documents may include proposals, rate sheets, service agreements, onboarding documents, employment policies, worker handbooks, confidentiality agreements, safety rules, background-check authorizations, statements of work, invoices, or other written terms. The more specific signed document controls if it conflicts with these Terms.
1.3 Eligibility and Legal Capacity
You may use the Website only if you have the legal capacity to enter into a binding agreement. If you use the Website on behalf of a company, organization, or other entity, you represent that you are authorized to act for that entity and bind it to these Terms.
The Website is not directed to children. A person under eighteen years of age may not use the Website to enter a binding transaction unless a parent, legal guardian, or other legally authorized adult participates and applicable law permits the transaction. Nothing in this section limits any rights or protections applicable to minors under employment, privacy, or consumer-protection law.
1.4 Changes to These Terms
We may revise these Terms when our Website, services, business practices, legal obligations, or operational needs change. Revised Terms become effective when posted on the Website unless a later effective date is stated. The “Last Updated” date identifies the most recent revision.
Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law. Material changes affecting an existing signed agreement will not amend that signed agreement unless made in the manner required by that agreement.
2. Definitions
2.1 “Applicant” or “Candidate”
“Applicant” or “Candidate” means a person who submits information, expresses interest in work, applies for a position or assignment, or otherwise seeks employment, placement, referral, or workforce-related opportunities through JDN Solutions.
2.2 “Client”
“Client” means a business, organization, venue, individual, or other party that requests, receives, or considers receiving staffing, hospitality, catering support, janitorial, moving, workforce, or related services from JDN Solutions.
2.3 “Content”
“Content” means text, photographs, graphics, logos, designs, documents, videos, audio, data, software, forms, job descriptions, service descriptions, and other materials made available through the Website.
2.4 “Services”
“Services” means the staffing, recruiting, workforce support, hospitality, catering support, janitorial, moving, event, operational, and related services that JDN Solutions may offer from time to time. A reference to Services does not mean that every service is available in every location or for every request.
2.5 “User,” “You,” or “Your”
“User,” “you,” or “your” means any person or entity that accesses the Website, submits information, communicates through an online channel, requests Services, applies for an opportunity, or otherwise interacts with the Website.
2.6 “User Submission”
“User Submission” means information or materials that you provide to JDN Solutions, including contact information, résumés, applications, schedules, service requests, descriptions of work, photographs, documents, messages, feedback, and other content you voluntarily submit.
3. About JDN Solutions Inc. and Its Services
3.1 Company Overview
JDN Solutions Inc. is a business-services company based in California. Depending on availability, licensing, insurance, client requirements, location, and the terms of a separate agreement, JDN Solutions may provide or coordinate staffing, hospitality, catering support, janitorial, moving, recruiting, workforce support, event support, and related operational services.
3.2 Service Categories
The Website may describe one or more service categories. Descriptions are general and may be changed, expanded, limited, suspended, or discontinued. Services may include:
• Staffing and workforce support for hospitality, catering, events, facilities, operations, and other lawful business needs.
• Recruiting, candidate sourcing, screening coordination, interview scheduling, and placement support.
• Hospitality and event personnel, including front-of-house, back-of-house, setup, breakdown, and related support where agreed.
• Catering support services, including service staff, event support, and operational assistance, but not necessarily food preparation or licensed food-service activities unless expressly agreed.
• Janitorial and cleaning support for commercial, event, or other agreed locations.
• Moving and physical support services, including labor assistance, setup, breakdown, loading, unloading, staging, and related work where agreed.
• Administrative, scheduling, workforce coordination, and customer-support functions related to the Services.
3.3 Availability and Geographic Limitations
Service availability depends on geography, worker availability, scheduling, client requirements, scope, safety, insurance, legal restrictions, and operational capacity. Website descriptions do not guarantee that JDN Solutions can accept a particular project, fill a particular shift, provide a specific worker, meet a particular deadline, or serve a particular location.
3.4 Separate Agreements Control Actual Services
A Website inquiry, email, text message, telephone call, estimate, discussion, or preliminary proposal does not by itself create a binding service obligation unless JDN Solutions expressly confirms the engagement in writing through an authorized representative. The final scope, rates, payment terms, cancellation terms, staffing levels, responsibilities, and other material conditions may be stated in a separate proposal, service agreement, statement of work, work order, assignment confirmation, or invoice.
3.5 No Exclusivity or Guaranteed Volume
Unless a separate signed agreement states otherwise, neither party is required to provide or purchase a minimum volume of Services, and neither party grants exclusivity. JDN Solutions may accept work from other clients, and clients may obtain services from other providers.
3.6 Legal and Operational Compliance
JDN Solutions intends to conduct its operations in accordance with applicable laws and lawful business requirements. Nothing in these Terms authorizes any person to request or perform illegal, unsafe, discriminatory, deceptive, exploitative, or unauthorized activity.
4. Website Access and Acceptable Use
4.1 Limited Permission to Use the Website
Subject to these Terms, JDN Solutions grants you a limited, revocable, nonexclusive, nontransferable permission to access and use the Website for lawful personal or business purposes related to learning about JDN Solutions, requesting Services, applying for opportunities, communicating with us, or managing an existing relationship.
4.2 Prohibited Conduct
You may not use the Website to:
• Violate any applicable law, regulation, court order, contractual obligation, intellectual-property right, privacy right, publicity right, or other legal right.
• Submit false, misleading, fraudulent, defamatory, discriminatory, harassing, threatening, obscene, exploitative, or unlawful information.
• Impersonate another person or entity, misrepresent your authority, or conceal the origin of a communication.
• Interfere with Website functionality, security, servers, networks, authentication, access controls, or data integrity.
• Introduce malware, ransomware, spyware, viruses, harmful code, automated scraping tools, bots, or other disruptive technology.
• Attempt to gain unauthorized access to accounts, systems, files, communications, databases, or restricted areas.
• Copy, reproduce, republish, distribute, frame, mirror, modify, reverse engineer, or commercially exploit Website Content except as expressly permitted in writing.
• Collect personal information about other users, candidates, workers, clients, or personnel without lawful authorization.
• Use the Website to recruit, solicit, divert, or commercially exploit JDN Solutions personnel, applicants, or clients in violation of a separate agreement or applicable law.
• Use Website information to discriminate unlawfully in employment, housing, credit, contracting, or any other protected context.
4.3 Monitoring and Enforcement
We may monitor Website use to protect security, investigate suspected misconduct, maintain records, improve functionality, and enforce these Terms, subject to applicable law. We may restrict, suspend, or terminate access when we reasonably believe a User has violated these Terms or created risk to JDN Solutions, another person, or the Website.
4.4 Availability of Features
Website features may vary by device, browser, location, or user type. We may add, remove, update, or discontinue features without notice. We are not obligated to preserve any particular design, feature, form, application process, or communication channel.
4.5 User Security Responsibilities
You are responsible for using reasonable security measures when accessing the Website, including protecting devices, passwords, email accounts, and communications. You should not send highly sensitive information through an unsecured channel unless JDN Solutions specifically requests it and provides an appropriate method.
5. Information, Inquiries, Applications, and User Submissions
5.1 Accuracy and Completeness
You represent that information you provide is accurate, current, complete, and not misleading. You agree to update material information when necessary, including contact details, scheduling availability, work authorization, qualifications, service requirements, site conditions, billing information, and other facts relevant to an inquiry or relationship.
5.2 Permission to Use Submitted Information
You grant JDN Solutions permission to receive, review, store, reproduce, organize, transmit, and use User Submissions as reasonably necessary to evaluate your inquiry, respond to you, provide or consider Services, process an application, coordinate staffing, maintain records, protect legal rights, and operate the business, subject to the Privacy Policy and applicable law.
5.3 No Confidential Relationship Created by Unsolicited Submissions
Unless JDN Solutions has agreed in writing to confidentiality, an unsolicited idea, business concept, proposal, method, design, or similar submission does not create a confidential, fiduciary, or exclusive relationship. Do not submit trade secrets or proprietary information unless an authorized representative has agreed in writing to receive it confidentially.
5.4 Résumés and Application Materials
Applicants may submit résumés, work histories, certifications, references, availability, and related materials. Submission does not guarantee review, interview, employment, placement, referral, or assignment. JDN Solutions may verify information, request supporting documents, contact references where authorized, and evaluate qualifications in accordance with applicable law and business needs.
5.5 Service Requests and Project Information
Clients and prospective clients are responsible for describing requested Services accurately, including location, dates, schedule, duties, staffing levels, physical requirements, equipment, safety conditions, access restrictions, parking, security procedures, dress codes, supervision, and any special qualifications. Incomplete or inaccurate information may affect availability, pricing, staffing, timing, or safety.
5.6 Feedback
If you voluntarily provide feedback, suggestions, or general comments about the Website or Services, JDN Solutions may use them without restriction or compensation, provided that personal information remains subject to the Privacy Policy and confidential information remains subject to any applicable written confidentiality agreement.
6. Staffing, Recruiting, and Workforce-Related Matters
6.1 No Guarantee of Employment, Placement, or Assignment
Website content, job descriptions, recruiting communications, application forms, and discussions about availability are informational and preliminary. JDN Solutions does not guarantee that an Applicant will be interviewed, hired, placed, assigned, retained, promoted, or offered any minimum amount of work. Openings may be modified, delayed, filled, canceled, or closed without notice.
6.2 Employment Relationship Determined by Specific Documents and Law
The existence and nature of any employment relationship are determined by applicable law and the specific onboarding, payroll, assignment, or employment documents issued for the relevant role. Nothing on the Website independently creates an employment contract, promise of continued employment, fixed term of employment, guaranteed schedule, guaranteed hours, or entitlement to a particular assignment.
6.3 Equal Opportunity and Lawful Employment Practices
JDN Solutions supports lawful, nondiscriminatory employment and business practices. Employment-related decisions are intended to be based on legitimate qualifications, availability, performance, client requirements, safety, and other lawful factors. Applicants or workers who need a reasonable accommodation in connection with an application or assignment should contact JDN Solutions so the request can be considered through an appropriate process.
6.4 Work Authorization and Identity Verification
Applicants and workers may be required to provide accurate identity, work-authorization, tax, payroll, licensing, certification, or eligibility documents. JDN Solutions may decline or delay employment or assignment when required documentation is missing, inconsistent, expired, or cannot lawfully be accepted.
6.5 Screening, References, and Background Information
Depending on the role, client, location, and applicable law, JDN Solutions may request references, verify employment history, confirm certifications, evaluate qualifications, or arrange lawful screening. Any consumer-report or background-check process requiring notice or authorization will be handled through separate disclosures and authorization documents. Website acceptance of these Terms is not a substitute for any legally required authorization.
6.6 Assignment Details and Changes
Assignment details may include date, reporting time, estimated duration, location, client, supervisor, duties, dress code, equipment, parking, meal arrangements, security procedures, and compensation information. Operational needs can change. JDN Solutions may communicate updates, replacements, cancellations, or reassignment options, subject to applicable law and any specific written agreement.
6.7 Attendance, Conduct, and Professional Standards
Workers assigned through JDN Solutions may be required to follow lawful attendance, conduct, confidentiality, safety, dress, security, and performance expectations communicated by JDN Solutions or the client. Workers must accurately report availability, arrive as instructed, perform only authorized duties, protect client property, and promptly report accidents, injuries, hazards, harassment, discrimination, wage concerns, or other serious issues.
6.8 Timekeeping and Compensation
Workers must record all hours worked accurately and comply with lawful timekeeping procedures. No person may direct a worker to perform unrecorded or off-the-clock work. Questions about time records, pay, meal or rest periods, reimbursements, deductions, or other compensation matters should be reported promptly to JDN Solutions through an authorized channel.
6.9 Workplace Safety
Safety requirements may vary by assignment. Workers must follow training, use required protective equipment, perform only tasks they are qualified and authorized to perform, and report unsafe conditions immediately. Clients requesting workers must provide a reasonably safe work environment, disclose known hazards, communicate site-specific rules, and provide required training, supervision, and equipment as allocated under the applicable agreement and law.
6.10 No Waiver of Worker Rights
Nothing in these Terms waives, limits, or alters any non-waivable right relating to wages, hours, breaks, reimbursement, workers’ compensation, unemployment benefits, protected leave, workplace safety, discrimination, harassment, retaliation, concerted activity, whistleblowing, or any other statutory or public-policy protection. Employment-related rights and obligations are governed by applicable law and specific employment documents, not solely by Website Terms.
6.11 Client Decisions and Third-Party Worksites
Clients may establish lawful job-related requirements and may participate in assignment decisions. JDN Solutions does not control every condition at a third-party worksite. Workers and clients are expected to communicate promptly about performance, safety, scheduling, and conduct concerns so they can be addressed appropriately.
7. Hospitality, Catering, Janitorial, Moving, and Related Services
7.1 Scope Must Be Confirmed in Writing
Operational services can vary significantly. A general Website description does not define the complete scope of a project. The parties should confirm duties, staffing levels, timing, location, supervision, supplies, equipment, access, safety requirements, transportation, insurance, pricing, and any exclusions in a written proposal, work order, statement of work, or service agreement.
7.2 Hospitality and Event Support
Hospitality and event support may include setup, guest service, food and beverage support, bussing, banquet service, breakdown, and related tasks where agreed. JDN Solutions does not represent that every worker holds every certification or license. Any required certification, permit, responsible-beverage-service credential, food-handler credential, security clearance, or specialized qualification must be identified before the engagement and confirmed in writing.
7.3 Catering Support
Unless expressly agreed, catering support does not mean that JDN Solutions is the caterer of record, food producer, premises operator, alcohol licensee, menu provider, or party responsible for food sourcing. Responsibility for food safety, menus, ingredients, allergens, alcohol compliance, permits, and licensed operations remains with the party assigned that responsibility by law and the applicable contract.
7.4 Janitorial and Cleaning Services
Clients requesting janitorial or cleaning support must disclose the site type, requested tasks, known hazards, restricted materials, biohazards, chemicals, waste classifications, security requirements, and required protective equipment. Unless expressly agreed in writing, ordinary janitorial Services do not include hazardous-material remediation, medical-waste handling, mold abatement, asbestos work, crime-scene cleanup, pest control, or other regulated specialty services.
7.5 Moving and Physical Support Services
Moving or physical support Services may be limited to labor assistance and may not include transportation, warehousing, packing materials, specialized rigging, licensed hauling, valuation coverage, or insurance for customer property unless expressly stated. Clients must identify fragile, high-value, unusually heavy, hazardous, or regulated items before work begins. JDN Solutions may refuse tasks that are unsafe, unlawful, outside the agreed scope, or beyond available equipment and qualifications.
7.6 Client Access and Site Readiness
Clients are responsible for providing timely access, accurate directions, parking or loading instructions, authorized contacts, safe work areas, utilities where needed, and information necessary to begin Services. Delays caused by inaccessible premises, missing approvals, inadequate preparation, security restrictions, undisclosed hazards, or changes in scope may affect timing and charges under the applicable agreement.
7.7 Changes, Delays, and Cancellations
Project changes, delays, cancellations, reductions, extensions, or additional staffing requests may be subject to availability and to fees stated in the applicable proposal, service agreement, work order, or invoice terms. Website content does not create a universal cancellation policy for all Services.
7.8 Damage, Loss, and Incident Reporting
Any alleged property damage, loss, injury, safety incident, service issue, or performance concern should be reported promptly, with reasonable documentation and an opportunity for investigation. Responsibility, if any, will be evaluated under the applicable agreement, available evidence, insurance, and law. Nothing in this section constitutes an admission of liability.
8. Quotes, Proposals, Orders, Invoices, and Payments
8.1 Estimates and Quotes
Unless expressly identified as fixed and accepted in a signed agreement, estimates and quotes are based on information available at the time and may change if the scope, schedule, location, staffing level, duties, duration, costs, legal requirements, or site conditions change. An estimate is not an unconditional promise to perform Services at a stated price.
8.2 Acceptance of Proposals
A proposal becomes binding only when accepted in the manner stated in the proposal and confirmed by an authorized JDN Solutions representative. Acceptance may require a signature, deposit, purchase order, written confirmation, completed onboarding, credit approval, or other condition.
8.3 Rates and Additional Charges
Rates may vary based on service category, worker classification, schedule, overtime, premium time, holidays, short notice, minimum hours, travel, parking, tolls, equipment, supplies, background requirements, specialized qualifications, cancellations, extensions, or other agreed factors. Applicable rates and charges should be stated in the specific proposal, service agreement, work order, or invoice.
8.4 Invoices and Payment Terms
Invoices are due according to the payment terms shown on the invoice or applicable agreement. A client must promptly review invoices and communicate a good-faith dispute with sufficient detail. The undisputed portion remains payable. Failure to raise a dispute within the period stated in the applicable agreement or invoice may affect the ability to challenge the charge, subject to applicable law.
8.5 Taxes and Government Charges
Prices may exclude sales, use, excise, payroll-related, permit, assessment, or other taxes and government charges unless expressly stated. Each party is responsible for taxes legally imposed on it. If JDN Solutions is required to collect or pay a tax attributable to a Client transaction, that amount may be added to the invoice where permitted.
8.6 Payment Methods and Processing
JDN Solutions may use banks, card processors, electronic payment platforms, invoicing systems, or other service providers. Payment information may be subject to the provider’s terms and privacy practices. JDN Solutions is not responsible for a third-party processor’s independent outage, error, delay, rejection, or security incident, except to the extent responsibility cannot lawfully be disclaimed.
8.7 Collection and Suspension
Where permitted by the applicable agreement and law, JDN Solutions may suspend Services, decline new work, require advance payment, recover reasonable collection costs, or pursue other lawful remedies for overdue amounts. No Website statement modifies specific credit or collection terms agreed in writing.
9. Communications and Electronic Transactions
9.1 Business Communications
You may receive communications related to inquiries, applications, staffing, scheduling, assignments, Services, customer support, invoices, documents, safety, operations, and other legitimate business matters. Communications may occur by email, telephone, text message, Website form, collaboration platform, or another channel you use with JDN Solutions.
9.2 Contact Information and Delivery
You are responsible for providing accurate contact information and monitoring the channels you designate. A message may be considered delivered when sent to the email address, telephone number, account, or other contact point you provided, subject to any different notice requirement in a signed agreement and applicable law.
9.3 Text Messaging
Text-message communications are additionally governed by the SMS Communication Terms published on the Website and by any consent, carrier, platform, or legal requirements applicable to a particular messaging program. These general Terms do not replace the separate SMS Communication Terms.
9.4 Electronic Records and Signatures
To the extent permitted by law, the parties may use electronic records, electronic signatures, email confirmations, digital acceptance, or similar methods to conduct transactions. A separate document may specify additional authentication, consent, or record-retention requirements. You are responsible for ensuring that the person using your email address, account, or signature method has authority to act.
9.5 No Emergency Communications
The Website, email, and ordinary business messaging channels are not emergency services and may not be monitored continuously. Do not use them to report a life-threatening emergency, active crime, fire, immediate medical crisis, or urgent public-safety danger. Contact the appropriate emergency service.
9.6 Call Recording and Monitoring
JDN Solutions will not intentionally record calls or meetings without following applicable notice and consent requirements. Certain third-party platforms may generate transcripts, summaries, or recordings when activated. Any such use should be disclosed as required by law and platform settings.
10. Intellectual Property and Brand Use
10.1 Ownership
The Website and its Content, including the JDN Solutions name, logos, designs, text, graphics, forms, layouts, service descriptions, photographs, and compilations, are owned by or licensed to JDN Solutions and are protected by applicable intellectual-property and unfair-competition laws.
10.2 Permitted Personal and Business Use
You may view, download, or print reasonable portions of Website Content solely for evaluating or using JDN Solutions Services, applying for opportunities, maintaining records of your interactions, or another lawful noncompetitive purpose. You may not remove proprietary notices or imply that JDN Solutions endorses you, your business, or your services without written permission.
10.3 Restrictions
Without prior written authorization, you may not reproduce, modify, republish, sell, license, distribute, publicly display, create derivative works from, scrape, harvest, or use Website Content to build a competing service, database, directory, training dataset, recruiting list, marketing list, or commercial product.
10.4 Trademarks and Publicity
You may not use the JDN Solutions name, logos, trade dress, photographs, testimonials, client names, worker names, or project information in advertising, press releases, social media, case studies, or promotional materials without written permission from the rights holder. A service relationship does not automatically grant publicity rights.
10.5 Copyright or Trademark Concerns
A person who believes Website Content infringes a protected right may contact JDN Solutions with identification of the work, the allegedly infringing material, contact information, a description of the claimed right, and supporting information. JDN Solutions may investigate and take appropriate action without admitting liability.
11. Third-Party Websites, Platforms, and Services
11.1 External Links
The Website may link to third-party websites, maps, payment systems, job boards, social networks, scheduling tools, collaboration platforms, document-signing services, or other resources. Links are provided for convenience and do not necessarily constitute endorsement, control, sponsorship, or responsibility.
11.2 Separate Third-Party Terms
Third-party services are governed by their own terms, privacy policies, fees, accessibility, security, and availability. You are responsible for reviewing those terms. JDN Solutions is not a party to the relationship between you and a third-party provider unless expressly stated.
11.3 Platform Limitations
JDN Solutions is not responsible for independent third-party outages, account suspensions, delivery failures, data losses, security events, algorithmic decisions, content moderation, or service changes, except to the extent JDN Solutions has a non-waivable legal responsibility for its own conduct.
11.4 Client and Worksite Systems
Workers or clients may be asked to use a third-party timekeeping, access, scheduling, training, communication, or security system. Use of such systems may be subject to separate notices and policies. Concerns about required systems should be raised promptly with JDN Solutions.
12. Privacy and Data Practices
12.1 Privacy Policy
JDN Solutions’ collection, use, disclosure, retention, and protection of personal information are described in the Privacy Policy available at https://jdnsolutions-inc.com/privacy-policy. The Privacy Policy is incorporated into these Terms by reference to the extent applicable to Website use.

No internet transmission, email system, cloud platform, or electronic storage method is guaranteed to be completely secure. JDN Solutions uses reasonable safeguards but cannot guarantee that unauthorized access, interception, loss, or misuse will never occur.
12.4 User Responsibility for Sensitive Information
Do not send Social Security numbers, bank credentials, medical records, identity documents, or similarly sensitive information through an ordinary Website message, unencrypted email, or text message unless JDN Solutions specifically requests it and provides an appropriate method. 13. Website Availability, Accuracy, and Security
13.1 Availability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JDN SOLUTIONS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST OPPORTUNITY; LOSS OF DATA; LOSS OF GOODWILL; OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE WEBSITE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
15.2 Direct-Damage Cap for Website Claims
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JDN SOLUTIONS’ TOTAL LIABILITY FOR A CLAIM ARISING SOLELY FROM WEBSITE ACCESS OR WEBSITE CONTENT WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID DIRECTLY TO JDN SOLUTIONS FOR THE SPECIFIC WEBSITE FEATURE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT. This cap does not govern liability under a separate signed agreement if that agreement establishes a different limitation.
15.3 Exclusions from the Limitation
Nothing in these Terms limits liability to the extent a limitation is prohibited by law. This includes liability that cannot lawfully be limited for fraud, intentional misconduct, willful injury, violation of law, or other non-waivable conduct. Nothing in these Terms limits statutory worker rights or remedies that cannot be waived.
15.4 Allocation of Risk
The disclaimers and limitations in these Terms are part of the agreed allocation of risk for free access to the Website and apply regardless of the legal theory asserted, subject to applicable law. Separate paid Services may be governed by different allocations of risk in a signed agreement.
16. Indemnification
16.1 User Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless JDN Solutions and its directors, officers, employees, and representatives from third-party claims, damages, liabilities, judgments, penalties, costs, and reasonable attorneys’ fees arising from your unlawful use of the Website, material breach of these Terms, infringement of another person’s rights, fraudulent User Submission, or unauthorized conduct performed through your account or authority.
16.2 Limitations
This indemnity does not require an employee, applicant, consumer, or other protected person to indemnify JDN Solutions for JDN Solutions’ own unlawful conduct or for a claim where indemnification is prohibited by law. Any indemnification obligation in a separate signed agreement is governed by that agreement.
16.3 Defense Procedures
JDN Solutions will provide reasonable notice of a covered claim when practicable. JDN Solutions may control the defense and settlement, but will not settle a claim in a manner that imposes a personal admission of wrongdoing or nonmonetary obligation on you without your consent, unless a separate agreement provides otherwise.
17. Suspension and Termination
17.1 Suspension or Restriction
JDN Solutions may restrict, suspend, or terminate Website access if we reasonably believe you violated these Terms, submitted fraudulent information, created a security risk, interfered with operations, misused personal information, or engaged in conduct that could harm JDN Solutions or another person.
17.2 Effect of Termination
Upon termination of Website access, the limited permission to use the Website ends. Provisions that by their nature should survive will remain effective, including provisions concerning intellectual property, disclaimers, liability, indemnification, governing law, and general contract interpretation.
17.3 Separate Relationships
Termination of Website access does not automatically terminate a separate employment, client, vendor, or service agreement. Those relationships may be terminated only under the documents and laws that govern them.
18. Governing Law, Venue, and Dispute Resolution
18.1 Governing Law
Unless a separate signed agreement states otherwise, these Terms and disputes concerning Website use are governed by the laws of the State of California, without giving effect to choice-of-law rules that would apply another jurisdiction’s law.
18.2 Informal Resolution
Before filing a lawsuit concerning Website use, a party is encouraged to send a written description of the dispute and requested resolution to info@jdnsolutions-inc.com and allow a reasonable opportunity for review. This informal process does not prevent a party from seeking urgent relief, meeting a legal deadline, reporting a matter to a government agency, or exercising a non-waivable right.
18.3 Venue
Unless a separate signed agreement provides otherwise, and subject to any mandatory legal venue, a judicial proceeding concerning these Terms or Website use shall be brought in a state or federal court with jurisdiction in Santa Clara County, California. Each party consents to personal jurisdiction there to the extent lawful.
18.4 Government and Administrative Rights
Nothing in these Terms prevents a person from communicating with, filing a charge with, reporting to, cooperating with, or participating in an investigation or proceeding conducted by a government agency. Nothing requires advance notice to JDN Solutions where such a requirement would be unlawful.
18.5 No Mandatory Arbitration Created by These Terms
These Website Terms do not independently create a mandatory arbitration agreement or class-action waiver. A separate signed agreement may contain dispute-resolution terms applicable to that agreement, subject to applicable law.
19. General Contract Provisions
19.1 Entire Agreement for Website Use
These Terms, together with the Privacy Policy, SMS Communication Terms, and any other policy expressly incorporated by reference, constitute the entire agreement concerning general Website use. They do not replace separate signed agreements governing Services, employment, assignments, vendors, or other relationships.
19.2 Order of Priority
If documents conflict, the following order generally applies for the subject matter addressed: (a) a specifically negotiated signed agreement; (b) an accepted statement of work, work order, or proposal; (c) applicable invoice terms; (d) a specific Website policy; and (e) these general Terms. Mandatory law always controls where it cannot be modified by agreement.
19.3 Severability
If a court or authorized tribunal finds a provision unenforceable, that provision will be enforced to the maximum lawful extent or modified as necessary, and the remaining provisions will remain in effect unless the essential purpose of the agreement would be defeated.
19.4 No Waiver
A failure or delay in enforcing a provision is not a waiver. A waiver must be clear and applies only to the specific circumstance for which it is given.
19.5 Assignment
You may not assign your rights or obligations under these Terms without JDN Solutions’ written consent. JDN Solutions may assign these Terms in connection with a merger, reorganization, sale of assets, financing, corporate restructuring, or transfer of the Website or relevant business, subject to applicable law.
19.6 Force Majeure
JDN Solutions is not responsible for delay or failure caused by events beyond reasonable control, including natural disasters, wildfire, severe weather, public-health events, labor disruptions, transportation interruptions, utility failures, cyberattacks, telecommunications outages, government action, civil unrest, war, terrorism, venue closure, or supplier failure. This clause does not excuse payment obligations already due or statutory duties that cannot be excused.
19.7 Independent Parties
Website use does not create a partnership, joint venture, franchise, fiduciary relationship, or agency relationship. The legal relationship for actual Services or work is determined by the applicable documents and law.
19.8 Headings and Interpretation
Headings are for convenience and do not limit meaning. “Including” means “including without limitation.” Singular terms include the plural where appropriate. A reference to a law includes amendments and successor provisions to the extent applicable. These Terms will not be interpreted against a party solely because that party participated in drafting them.
19.9 No Third-Party Beneficiaries
Except where these Terms expressly identify a protected JDN Solutions party, they do not create enforceable rights for a person who is not a party to the relevant Website interaction.
19.10 Survival
Provisions concerning ownership, intellectual property, privacy, disclaimers, limitations of liability, indemnification, dispute resolution, and general interpretation survive termination to the extent necessary to give them effect.
19.11 Electronic Copy
You may print or save a copy of these Terms for your records. An electronic copy is intended to have the same effect as a paper copy to the extent permitted by law.

Workers and Applicants should use the contact methods provided during onboarding or assignment for urgent employment or workplace matters. A person facing an immediate emergency should contact emergency services. Nothing in these Terms restricts any right to report concerns to an appropriate government agency.
20.3 Effective Date
These Terms are effective as of August 5, 2026 and remain in effect until replaced or withdrawn by JDN Solutions Inc.
